Sharon has considerable experience over many years in acting for banks and other lenders and lending institutions in taking and enforcing security including cases involving multi-million-euro loans. This work includes drafting facility letters, mortgages, charges, debentures, inter-bank priority agreements, subordination agreements, reviewing and reporting to banks on complex title and security issues, ensuring compliance by corporate borrowers and guarantors with company law. Sharon has been involved in many commercial transactions including share sales and acquisitions involving substantial sums of money which work includes drafting and negotiating share purchase and subscription agreements, tax indemnities, warranties and disclosure letters. She has advised clients on employment law and TUPE issues, dealing with VC funds and private funders.
Sharon’s experience also covers a wide range of commercial and company law corporate restructuring cases, drafting and negotiating complex joint venture agreements. Sharon acted for clients in varied litigation and ADR (Alternative Dispute Resolution) cases during her career. Some of the more interesting and challenging cases included a very complex multi-million euro claim for damages arising from a breach of contract involving certain aspects of Aviation Law and Employment Law; Commercial Court proceedings involving the unravelling of a complex commercial property development joint venture eventually settling with clients achieving value in excess of €60m; High value ADR (involving expert determination) on interpretation of an Agreement for Lease relating to construction and fit-out works to a substantial commercial property acting for the Landlord where the annual rent exceeded €3m. Many of the property development cases in which Sharon has been involved over the years have led to disputes between the developer and the contractor, all of which cases have enriched her broad experience across the spectrum of commercial property development.
